Welcome to Slate. By downloading, installing, or using the Slate mobile application (the "App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.

1. Description of Service

Slate provides AI-generated audio narration of live NBA play-by-play events. The App delivers real-time commentary so you can follow NBA games through audio without needing to watch a screen.

2. Subscription Terms

Slate Pro Subscription: Slate offers an auto-renewable subscription ("Slate Pro") that provides access to premium features including live game audio for all NBA games.

• Free Trial: New subscribers may be eligible for a free trial period. If you do not cancel before the end of the trial period, you will be automatically charged the subscription fee.
• Billing: Payment will be charged to your Apple ID account at confirmation of purchase. Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period.
• Renewal: Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected plan.
• Managing Subscriptions: You can manage or cancel your subscription at any time through your Apple ID account settings or the Settings section within the App.
• Cancellation: If you cancel your subscription, you will continue to have access to Slate Pro features until the end of your current billing period. No refunds will be given for any unused portion of a subscription period.

3. Pricing

• Annual Plan: $49.99 per year (approximately $4.17/month)
• Monthly Plan: $6.99 per month

Prices are in U.S. dollars and may vary by region. We reserve the right to change subscription pricing. Any price changes will take effect at the start of the next subscription period following the date of the price change.

4. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose.
• Attempt to reverse-engineer, decompile, or disassemble the App.
• Redistribute, broadcast, or publicly perform the audio content generated by the App.
• Use automated tools to access the App or its content.
• Interfere with or disrupt the App's servers or networks.

5. Intellectual Property

The App, its content, and all related intellectual property are owned by Slate. NBA team names, logos, and related marks are the property of the National Basketball Association and its teams. Slate is not affiliated with, endorsed by, or sponsored by the NBA.

6. Disclaimers

• The App is provided "as is" without warranties of any kind, express or implied.
• Play-by-play data may be delayed, incomplete, or contain inaccuracies. We do not guarantee real-time accuracy.
• Audio commentary is AI-generated and may occasionally contain errors or mispronunciations.
• Service availability depends on data source availability and may be interrupted without notice.

7. Limitation of Liability

To the maximum extent permitted by law, Slate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App.

8. Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance of the revised Terms.

9. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.
